Therapist Agreement

This Therapist Agreement (“Agreement”) is entered into between SeenKind (“SeenKind”, “we”, “our”, or “us”) and the therapist (“Therapist”, “you”, or “your”) who applies for, is approved to join, or uses the SeenKind Platform.

By submitting an application, accepting this Agreement, or providing services through SeenKind, you agree to be legally bound by this Agreement, our Terms of Service, Privacy Policy, Professional Standards Policy, Code of Conduct, Acceptable Use Policy, and all other applicable Platform policies.

SeenKind is an online technology marketplace.

SeenKind does not employ therapists, supervise their clinical work, or provide therapy services.

Therapists provide services independently and remain solely responsible for:

• Their professional judgment
• Clinical decisions
• Advice provided to clients
• Therapy methods
• Documentation they maintain
• Compliance with applicable laws and professional obligations

Nothing in this Agreement creates an employment, partnership, agency, franchise, or joint venture relationship between SeenKind and the Therapist.

To apply as a therapist, you must:

• Be legally permitted to provide the services you offer.
• Submit accurate personal information.
• Complete the SeenKind application process.
• Successfully complete SeenKind's verification process.
• Accept this Agreement and all applicable Platform policies.

SeenKind reserves the right to approve or reject any application at its sole discretion.

To help maintain trust and safety, therapists may be required to submit:

• Government-issued identification
• Educational qualifications
• Degree certificates
• Relevant professional certifications
• Work experience
• Professional biography
• Profile photograph
• Additional supporting documentation reasonably requested by SeenKind

SeenKind may request updated documents at any time.

Providing false, misleading, altered, or fraudulent information may result in immediate suspension or permanent removal from the Platform.

Therapists are responsible for ensuring that their public profile remains accurate and up to date. Profile information may include:

• Name
• Professional headline
• Biography
• Languages
• Areas of expertise
• Therapeutic approaches
• Session fee
• Availability
• Qualifications
• Experience
• Profile photograph

SeenKind may request corrections where profile information is inaccurate, misleading, or inconsistent with Platform policies.

Therapists may provide services through the Platform using available features, including:

• Video sessions
• Audio sessions
• Secure messaging

Therapists agree to provide services professionally, ethically, and in accordance with applicable laws.

Therapists independently determine their own consultation fees.

SeenKind may establish minimum or maximum pricing guidelines for operational or promotional purposes where necessary, but therapists remain responsible for selecting their standard pricing within any applicable Platform rules.

Prices displayed on the Platform must accurately reflect the amount clients will be charged.

Payments are processed through Stripe or another authorized payment provider. Therapists acknowledge that:

• Payment processing times may vary.
• Payouts may be delayed due to fraud reviews, disputes, chargebacks, legal requirements, or technical issues.
• SeenKind is not responsible for delays caused by third-party payment providers.

Therapists are responsible for any taxes applicable to their income unless otherwise required by law.

Therapists are responsible for:

• Maintaining accurate availability.
• Responding to booking requests promptly.
• Attending confirmed sessions on time.
• Providing clients with professional communication.

Repeated cancellations or failure to attend confirmed appointments may affect account standing.

Therapists agree to:

• Treat clients respectfully.
• Maintain professional boundaries.
• Avoid discriminatory conduct.
• Provide services within their competence.
• Maintain appropriate confidentiality.
• Use respectful language.
• Avoid harassment or exploitation.

Therapists remain solely responsible for the services they provide.

Therapists are responsible for protecting confidential client information in accordance with applicable laws and professional obligations. Confidential information obtained through SeenKind must not be disclosed except:

• With the client's authorization;
• Where required by applicable law; or
• Where disclosure is necessary to address an immediate risk of serious harm, consistent with applicable legal and professional obligations.

SeenKind may maintain technical records necessary to operate the Platform, improve security, investigate abuse, and comply with legal obligations, as described in the Privacy Policy.

Therapists maintain complete responsibility for:

• Assessments
• Treatment approaches
• Clinical recommendations
• Referrals
• Session content
• Professional documentation

SeenKind does not supervise clinical decisions.

Therapists agree to comply with all laws, regulations, and professional requirements applicable to the services they provide.

Where services are provided to minors, therapists are responsible for ensuring that any legally required parental or guardian consent has been obtained.

Clients may leave reviews regarding their experience. SeenKind reserves the right to moderate reviews in accordance with its Review Policy and Community Guidelines.

Therapists may not:

• Purchase reviews.
• Exchange incentives for reviews.
• Harass clients regarding reviews.
• Manipulate ratings.

To protect users and maintain Platform integrity, therapists must not encourage or pressure clients to bypass SeenKind for bookings or payments that originate through the Platform without SeenKind's prior written authorization.

Repeated attempts to divert clients away from the Platform may result in suspension or termination of the Therapist's account.

Therapists retain ownership of original content they create and upload, subject to the license granted below.

By uploading profile information, photographs, biographies, articles, videos, or other content to SeenKind, you grant SeenKind a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such content solely for operating, promoting, and improving the Platform.

You represent that you have the rights necessary to grant this license.

SeenKind may suspend or terminate a Therapist account for reasons including:

• Fraud
• Misrepresentation
• Submission of false documents
• Repeated client complaints following investigation
• Harassment
• Abuse
• Violation of Platform policies
• Illegal activity
• Attempting to bypass Platform payments
• Conduct that threatens the safety, trust, or integrity of the Platform

SeenKind will determine appropriate action based on the facts and circumstances of each case.

To the fullest extent permitted by applicable law, SeenKind shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the Therapist's use of the Platform.

SeenKind's role is limited to providing technology that facilitates connections between clients and independent therapists.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by law.

The Therapist agrees to indemnify and hold harmless SeenKind, its owners, directors, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from: the Therapist's professional services; the Therapist's breach of this Agreement; the Therapist's violation of applicable laws; the Therapist's infringement of the rights of any third party.

SeenKind may revise this Agreement from time to time.

Material changes will be communicated through the Platform or by other reasonable means.

Continued use of the Platform after the effective date of an updated Agreement constitutes acceptance of the revised version.

This Agreement shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan, without prejudice to any mandatory legal protections applicable in the jurisdictions where services are provided.
